Change of the articles of association of an organization with an international element

The change to the articles of association is approved by the body specified in the articles of association of the organization with an international element. This may be, for example:

• the general assembly,
• the members’ meeting,
• the conference,
• the board of directors,
• the members’ council,
• the presidium,
• another relevant body.

An organization with an international element is required to notify the ministry of a change to the articles of association within 15 days of its approval.

The notification may be filed by:

• the statutory body of the organization,
• another person acting under a power of attorney.

You can prepare the change to the articles of association in one of these ways:

• as an amendment to the articles of association, stating what is being changed and how,
• as a complete new wording of the articles of association, containing all the approved changes.

You can file the notification electronically or in paper form.

Electronic submission

The notification must be signed by:

• the statutory body of the organization, or
• an authorized person acting under a power of attorney.

Attach:

• the amendment to the articles of association or the complete new wording of the articles of association,
• the minutes of the body that approved the change to the articles of association,
• a power of attorney, if the submission is filed by an authorized person.

How to proceed

1. Fill in the electronic form.
2. Attach all required attachments.
3. Sign the submission with a qualified electronic signature (KEP).
4. Submit the form.
5. Pay the administrative fee based on the payment order, which will be delivered to your electronic mailbox after the submission is sent.

Good to know: For an electronic submission, the administrative fee is reduced by half, i.e. €12.50.

Paper submission
You can file the notification in person or by post to the address of the Ministry of the Interior of the SR (hereinafter the “registration authority”):

The notification is filed by the organization, represented by its statutory body or by an authorized person acting under a power of attorney.

State in the notification:

• the name of the organization,
• the registered office,
• the company identification number (IČO),
• the body that approved the change to the articles of association,
• the date the change to the articles of association was approved.

The notification is signed by the statutory body or the authorized person. The signature does not need to be officially certified.

Attach:

• the amendment to the articles of association or the complete new wording of the articles of association, in two copies,
• the minutes of the body that approved the change to the articles of association,
• a power of attorney, if the submission is filed by an authorized person,
• confirmation of payment of the administrative fee in the amount of €25.

Deficiencies
If the notification of the change to the articles of association was not filed by an authorized person, or if the wording of the change to the articles of association is not in accordance with the legal order of the Slovak Republic, the registration authority will promptly notify the organization with an international element. It sends the notice to the electronic mailbox of the organization with an international element or the authorized person.

Taking note of the change to the articles of association
If the change to the articles of association is in order, the registration authority sends the organization with an international element, within 15 days of receiving the notification, one copy of the change to the articles of association in paper form, marked to indicate that it takes note of the change to the articles of association. In the case of a power of attorney, the registration authority sends one copy of the articles of association to the authorized person.
