A guide on how to file a proposal to dissolve and deregister an organization with an international element.

Proposal to dissolve an organization with an international element

  1. If you want to report the dissolution of an organization with an international element with liquidation.

  2. The proposal to dissolve an organization with an international element may be filed by:

    • the statutory body, or
    • an authorized person acting under a power of attorney.
  3. The dissolution of the organization with an international element is decided by the body specified in its articles of association. This may be, for example:

    • the general assembly,
    • the members’ meeting,
    • the conference,
    • the board of directors,
    • the members’ council,
    • the presidium,
    • another relevant body.
  4. You can file the proposal electronically or in paper form.

     

    Electronic submission

    The proposal must be signed by:

    • the statutory body, or
    • an authorized person acting under a power of attorney.

    Use a qualified electronic signature () to sign.

     

    Attach:

    • the minutes or decision of the body that decided on the dissolution of the organization with an international element and on the appointment of a liquidator, including the liquidator’s details,
    • a power of attorney, if the proposal is filed by an authorized person.

     

    How to proceed

    1. Fill in the electronic form.
    2. Attach all required attachments.
    3. Sign the submission with a qualified electronic signature ().
    4. Submit the form.
    5. Pay the administrative fee based on the payment order, which will be delivered to your electronic mailbox after the submission is sent.

     

    Warning: For the electronic submission you need an ID card with a chip (). When submitting, you must sign the document with a qualified electronic signature (). The submission cannot be sent without a .

     

    Good to know: For an electronic submission the administrative fee is reduced by half, i.e. €12.50.

     

    Paper submission
    You can file the proposal to dissolve the organization in person or by post to the address of the Ministry of the Interior of the SR (hereinafter the “registration authority”):

    The proposal to dissolve is filed by the organization, represented by its statutory body or by an authorized person acting under a power of attorney.

     

    State in the proposal:

    • the name of the organization,
    • the registered office,
    • the company identification number (IČO),
    • the body that decided on the dissolution of the organization,
    • the date of dissolution and entry into liquidation,
    • details of the liquidator (given name, surname, birth number, permanent residence address).

    The proposal is signed by the statutory body or the authorized person. The signature does not need to be officially certified.

     

    Attach:

    • the minutes or decision of the body that decided on the dissolution of the organization with an international element and on the appointment of a liquidator, including the liquidator’s details,
    • a power of attorney, if the proposal is filed by an authorized person,
    • confirmation of payment of the administrative fee in the amount of €25.

  5. After receiving the proposal, the registration authority checks whether it was filed by an authorized person and whether it contains all the required data.

     

    If the proposal contains deficiencies
    If the proposal was not filed by an authorized person, or does not contain all the required data, the registration authority will notify you. It delivers the notice to the electronic mailbox of the organization or the authorized person.

     

    If the proposal is in order
    The registration authority decides on the proposal within 30 days of receiving it. If the proposal meets all conditions, it delivers to the electronic mailbox of the organization or the authorized person a notice that it has recorded the dissolution of the organization and registered the liquidator’s details in the Register of Non-Governmental Non-Profit Organizations.

Proposal to deregister an organization with an international element

  1. If you want to file a proposal to deregister an organization with an international element from the Register of Non-Governmental Non-Profit Organizations.

     

    Important: You can file the proposal only after 6 months have elapsed from the date the notice of the organization’s entry into liquidation was published in the Commercial Bulletin (Obchodný vestník).

  2. The proposal to deregister an organization with an international element may be filed by:

    • the organization’s liquidator, or
    • an authorized person acting under a power of attorney.

    • an authorized person acting under a power of attorney.

    Attach:

    • the liquidator’s final report on the course of the liquidation, which also includes the date the liquidation ended and the place (address) where the documents are archived,
    • the financial statements as of the day preceding the day of entry into liquidation,
    • the financial statements as of the day the liquidation ended,
    • a power of attorney, if the submission is filed by an authorized person.

     

    How to proceed

    4. Submit the form.

    • the financial statements as of the day the liquidation ended,
    • a power of attorney, if the proposal is filed by an authorized person,
    • the issue number of the Commercial Bulletin in which the notice of the organization with an international element’s entry into liquidation was published.
  4. After receiving the proposal, the registration authority checks whether it was filed by an authorized person and whether it contains all the required data.

     

    If the proposal is in order
    The registration authority decides on the proposal within 30 days of receiving it. If the proposal meets all conditions, it delivers to the electronic mailbox of the liquidator or the authorized person a notice of the deregistration of the organization with an international element from the Register of Non-Governmental Non-Profit Organizations.

     

    If the proposal contains deficiencies
    If the proposal was not filed by an authorized person, or does not contain all the required data, the registration authority will notify the liquidator or the authorized person. It delivers the notice to the electronic mailbox of the liquidator or the authorized person.
