Setting up a non-profit organization

Guide on how to submit an application to register a non-profit organization providing generally beneficial services.

    • a natural person,
    • a legal person,
    • the state.

    The founding deed must contain the following information:

    • Name
      The name of the non-profit organization means the name under which it is registered in the register of non-governmental non-profit organizations. It must contain the designation "nezisková organizácia" (non-profit organization) or the abbreviation "n. o." and must differ from the name of other already registered non-profit organizations.
    • Registered office
      State the address of the registered office in Slovakia, including city districts (in the case of Bratislava or Košice), the registration and orientation number. If the municipality has no streets, state only the registration number.
    • The period for which the non-profit organization is established, if not established for an indefinite period.
    • The type of generally beneficial services: provision of healthcare, provision of social assistance and humanitarian care, creation, development, protection, restoration and presentation of spiritual and cultural values, protection of human rights and fundamental freedoms, education, upbringing and development of physical culture, research, development, scientific and technical services and information services, creation and protection of the environment and protection of public health, services supporting regional development and employment, and ensuring housing, administration, maintenance and renewal of the housing stock.
    • Given name and surname of the natural person or name of the legal person, birth number of the natural person or identification number of the legal person, permanent residence of the natural person or registered office of the legal person, if they are founders.
    • Given name, surname, birth number, and address of permanent residence of the first members of the board of directors, the supervisory board (auditor), the director, and members of any other body, if established.
    • Monetary contributions of individual founders, non-monetary contributions of individual founders and their monetary value determined by an expert opinion, if contributed.

     

    Draw up the founding deed as follows, depending on the type of filing:
    Electronic submission – the founding deed must be authorized with a qualified electronic signature () of all founders. If the founders do not have a qualified electronic signature, a guaranteed conversion must be made from the paper form with officially certified signatures of the founder(s), under § 35(1)(b) of Act No. 305/2013 Coll. on .
    Paper submission – the founding deed must be signed by all founders. The authenticity of the signatures of all founders must be officially certified.

     

    The statute must contain the following information:
    • the name and registered office of the non-profit organization,
    • the type of generally beneficial services (§ 2(2)),
    • the manner of publishing the conditions for providing the individual types of generally beneficial services,
    • the bodies of the non-profit organization and the definition of their powers,
    • the number of members, the manner of election, and the length of the term of office of the board of directors, the supervisory board (auditor), or another body, if established,
    • the period for keeping minutes of meetings of the bodies of the non-profit organization,
    • the manner of settling assets upon the dissolution of the non-profit organization.

     

    Draw up the statute as follows, depending on the type of filing:
    • Electronic submission – the statute must be authorized with a qualified electronic signature () of all founders.
    • Paper submission – the statute must be signed by all founders.

    Electronic submission
    Fill in the electronic form "Application for registration – non-profit organization providing generally beneficial services.Opens in a new window

    The application must be signed with a qualified electronic signature ().

     

    Attach:
    • the founding deed signed with a qualified electronic signature () of the founder(s); if the founders do not have a , in the form of a guaranteed conversion,
    • the statute signed by the founder(s),
    • a written declaration by the founder on the ultimate beneficial owner with details under the relevant regulation (given name, surname, birth number or date of birth if no birth number has been assigned, address of residence, nationality, and the type and number of the identity document, or the group of persons considered to be the ultimate beneficial owner, and the details establishing that status under § 6a of Act No. 297/2008 Coll.; details of the type and number of the identity document are not recorded in the register for citizens of the Slovak Republic),
    • an affidavit of the founders stating the non-profit organizations in which they have acted or are acting as founders or members of the bodies of a non-profit organization,
    • the details needed to request an extract from the criminal register of the director (§ 12(4)(a) of Act No. 192/2023 Coll.),
    • a current expert opinion in the case of a non-monetary contribution by a founder,
    • power of attorney in the case of representation.

     

    How to proceed
    1. Fill in the electronic form.
    2. Attach all required annexes.
    3. Sign the application with a qualified electronic signature ().
    4. Send the form.
    5. You will pay the administrative fee based on a payment order that will be delivered to your electronic mailbox after the application is submitted.

     

    Warning
    For electronic filing you need an ID card with an chip and a qualified electronic signature (). Without a qualified electronic signature the application cannot be sent.

     

    Signing the electronic form by multiple persons
    If the application or its annexes are signed by more than one person, use the "Sign by multiple persons" function.

    Good to know
    For electronic filing, the administrative fee is reduced by half, i.e. €50.

     

    Paper submission
    Deliver the application in person or by post to the district office in the regional seat that has jurisdiction according to the seat of the non-profit organization (the "registration authority"), department of general internal administration.

    The application is submitted by the founder, or a person authorized in writing by the founder, within 60 days of the establishment of the non-profit organization. The applicant's signature must be officially certified.

     

    State in the application:
    • the name and registered office of the non-profit organization,
    • details of the founder of the non-profit organization.

     

    Attach:
    • the founding deed signed by all founders. The authenticity of the signatures of all founders must be officially certified,
    • the statute in two counterparts, signed by the founder(s),
    • the written declaration on the ultimate beneficial owner (as described above),
    • the affidavit of the founders on other non-profit organizations,
    • the details needed to request an extract from the criminal register of the director,
    • a current expert opinion in the case of a non-monetary contribution, if applicable,
    • power of attorney in the case of representation,
    • confirmation of payment of the administrative fee of €100.

    After receiving the application, the registration authority checks whether it contains all the required data and annexes.

     

    If the application is in order
    The registration authority:
    • issues a decision on registration and carries out the entry in the register as of the date specified in the application.
     - If the decision to register is issued later, or the application does not specify a date, the registration takes effect as of the date the decision is issued.
    • Sends the decision to the applicant or the authorized person via their electronic mailbox and, once the decision becomes legally final, sends one copy of the statute.

     

    If the application contains deficiencies
    If the registration authority finds deficiencies, it sends to the electronic mailbox of the applicant or the authorized person a call to remedy the deficiencies in the submission and a decision suspending the proceedings.

    After registration you can open a bank account in the name of the non-profit organization.
    You may need, for example:
    • the statute,
    • the founding deed,
    • proof of identity of the director,
    • an extract from the register of non-governmental non-profit organizations (send the request to the registration authority).

     

    Warning: Banks set their own requirements for the documents they require to open an account.
